The “Services” that you (“the subscriber”) have agreed to is as per attached Subscription Form. Hatio Sea Sdn Bhd’s products and services are very diverse, so sometimes additional terms of product requirements may apply. Additional terms will be available with relevant Services, and those additional terms become part of your agreement with us if you use those Services.

You must follow any policies made available to you within the Services. Don’t misuse our Services. For example, don’t interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct. Some of our Services are available on mobile devices. Do not use such Services in a way that distracts you and prevents you from obeying traffic or safety laws.

You may need a Hatio Account in order to use our Services. Hatio will create such account for you upon subscription to one of our many plans. To protect your Account, keep your password confidential. You are responsible for the activity that happens on or through your Account. Try not to reuse your Account password on third-party applications. If you learn of any unauthorized use of your password or Account, please contact us.

Hatio privacy notice explain how we treat your personal data and protect your privacy when you are using our Services. By using our Services, you agree that Hatio Sdn Bhd can use such data in accordance with our privacy notice.

When you subscribe to Hatio Sdn Bhd’s Hatio products, update of the products may be done automatically on all devices owned by you that have access to your Account either once a new version or feature is available. Hatio Sdn Bhd gives you a personal, worldwide, royalty-free, non assignable and non-exclusive, revocable right to access license to use the Services or software provided to you by us. The license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by us, in the manner permitted by these terms. You may not copy, modify, distribute, sell, lease or disclose any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless law prohibit those restrictions or you have our written permission.

We are constantly changing and improving our Services. We may add or remove functionalities or features. You can stop using our Services at any time, although we will be sorry to see you go. We may also stop providing Services to you, or add or create new limits to our Services at any time. We believe that you own your data and preserving your access to such data is important. If we discontinue a Service, where reasonable possible, we will give you reasonable advance notice and a change to get information out oft that Service.

We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don’t promise about our Services. Other than as expressly set out in these terms or additional terms, neither Hatio Sdn Bhd nor its associated parties make any specific promises about the services. For example we don’t make any commitments about the content within the services, the specific functions of the services, or their reliability, availability, or ability to meet your needs. We provide the services “as is”. Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.

When permitted by law, Hatio Sdn Bhd and it’s associates will not be responsible for lost of profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages. To the extent permitted by law, the total liability of Hatio Sdn Bhd and its associates, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Services. In all cases, Hatio Sdn Bhd, and it’s associates, will not be liable for any loss or damage that is not reasonably foreseeable.

If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify Hatio Sdn Bhd and its affiliates, partners, officers, agents, and employee from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, and litigation costs.

We may modify these terms of any additional terms that apply to a Service to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly. We will post notice or modifications to these terms on this page. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service. If there is a conflict between these terms and the additional terms, the additional terms will prevail. The terms control the relationship between Hatio Sdn Bhd and you. They do not create any third party beneficiary rights. If you do not comply with theses terms, and we don’t take action right away, this does not mean that we are giving up any right to that we may have, it merely means that we are reserving our right to take the necessary course of action. The laws of Malaysia will apply to any disputes arising out of or relating to these terms or the Services. All claims arising out of or relating to these terms or the Service will be litigated exclusively in the court of Malaysia, and you and Hatio Sdn Bhd consent to personal jurisdiction in those courts. Subscription rate is as detailed in the subscription form you signed with Hatio Sdn Bhd. All payments are due within twenty-one (21) days from our payment request as follow:
(a) Platform Charges (lump sum) – 100% upon confirmation
(b) Onboarding Charges (lump sum) – 50% upon confirmation – 50% upon system goes live
(c) Annual Hosting, server, maintenance & support fee – 100% upon system goes live
(d) Subsequent payment for item 12(c) above, payable on an annual interval. The above fees are subject to any relevant Government imposed taxes, withholding/local taxes where applicable and expenses incurred. Hatio Sdn Bhd reserve our rights to suspend our Services or terminate this Agreement in the event of late or non-payment to our fees. Late payment shall attract interest calculated at the rate of 1% per month for each day payment remains overdue until full and final settlement.

Payment can be made either by cheque or online transfer to our bank account. Please E-mail us the bank-in slip.

By default, your plan purchase is set to automatically renew at the end of your subscription. At any point during your subscription, you can upgrade to a higher plan. You’ll be upgraded to your new upgraded level immediately. Auto-renewal will be successful when you have made payment by the due date of payment. If the auto-renewal fails, a seven-day grace period will be added to your subscription so that you’re able to make payment within the grace period. During this grace period, you won’t lose access to anything in your Account or your current plan.

If you cancel your plan or when your plan expires, your account will reset to view mode for 30 days for each product at the end of your billing cycle. Everything in your Account will still be accessible, but you won’t be able to create or add anything new over the 30 days view mode limit. If you reach or exceed the 30 days view mode limit:

• You won’t be able to have access to the content stored in your account. We will store the content for an additional 60 days. After that all content in your account will be destroyed.
